Sustainable Development 22 4.5.1 Transparency • All sites (production, storage, dormitories, etc.) must be accessible to Bosideng for on- site inspection. Lists of all current and former employees, along with all relevant document records, should be provided; • Suppliers must maintain a cooperative attitude. Misleading, concealing, or providing false, forged, or tampered records is strictly prohibited; • Suppliers must provide complete and accurate operational and personnel records for at least 12 months; • Suppliers must allow Bosideng representatives to conduct private interviews with employees without interruption, and must ensure employees do not provide false information. • All subcontractor information must be disclosed in a timely manner, as required by Bosideng. No production tasks may be subcontracted without explicit written approval from Bosideng. 4.5.2 Confidentiality • Suppliers shall maintain strict confidentiality over all non-public information of Bosideng, including but not limited to business information, technical data, pricing information, design drawings, obtained during the course of cooperation. Without prior written consent, suppliers shall not disclose any such information to any third party, nor use it for any purpose other than the performance of the contract. 4.5.3 Conflict of Interest • While working with Bosideng, suppliers must proactively identify, disclose, and avoid any actual or potential conflicts of interest that could compromise their impartial judgment or harm Bosideng's interests. 4.5.4 No Bribery or Corruption • Offering or accepting bribes, kickbacks, gifts, or entertainment in any form is strictly prohibited; • Suppliers should, as a general rule, refuse and return any physical gifts or non-official invitations provided by Bosideng employees; • Suppliers shall not engage in financial dealings unrelated to current business with Bosideng’s business partners, including but not limited to loans or joint ventures ； • Suppliers shall establish an independent anti-corruption policy and implement a comprehensive mechanism covering prevention, monitoring, auditing, and accountability. Suppliers shall also comply with Bosideng’s Supplier Compliance and Integrity Agreement ； • Suppliers shall publicly display Bosideng’s whistleblowing channels (e.g., jijian@bosideng.com) within their premises in the local language for employees and visitors. Suppliers shall strictly protect whistleblowers from any form of retaliation, and any retaliatory actions shall be subject to strict disciplinary measures, including termination. 4.5.5 Transportation Arrangements
