Sustainable Development 4 Chapter 2 Supplier Sustainability Code of Conduct, Zero Tolerance, High-Risk Issues Bosideng continuously monitors industry trends and dynamically optimizes its policies and management practices to ensure that responsibility standards are always in sync with best practices for sustainability. We have established the Supplier Sustainability Code of Conduct, which clarifies the core requirements and behavioral norms that we expect all our partners to adhere to. At the same time, we have clearly defined "zero tolerance issues," establishing non- negotiable responsibility baselines. We firmly believe that a robust, transparent and trustworthy supply chain can only be built through clear standards, solid compliance and continuous collaboration, ultimately earning the long-term trust of stakeholders and achieving sustainable value co-creation. 2.1 Supplier Sustainability Code of Conduct Bosideng is committed to bringing the Chinese apparel industry to the forefront of the global market. The Company is committed to collaborating with suppliers to achieve excellence. The Bosideng Group Supplier Sustainability Code of Conduct (hereinafter referred to as the "Code") was comprehensively revised in 2025. We expect all our partners to work with us to adhere to these guidelines, striving tirelessly for sustainability and to create an outstanding brand. This Code sets out the minimum standards that must be complied with by all production partners manufacturing garments, fabrics, accessories, and other related products for Bosideng. It outlines the Group’s expectations regarding suppliers’ social responsibility and environmental management practices. The requirements set out in this Code supplement, and do not replace, applicable laws and regulations. Where the requirements of this Code are lower than those of applicable laws in the country of operation, suppliers must comply with the higher legal standards. Where the requirements of this Code exceed local legal requirements, suppliers shall adhere to the higher standards set forth in this Code. Strict Compliance with Laws and Regulations Suppliers must ensure that they have valid business licenses and production permits, as well as any other documents required for their business activities. The scope of their business must cover the categories of products they supply. They must also strictly adhere to all local, national and international laws and regulations, ensuring that their business activities are completely legal and compliant and eliminating any illegal conduct. In the event of a conflict between the provisions in this Code and the national laws of any country or region, the latter shall prevail. Business Ethics Suppliers must conduct business with honesty, integrity, and transparency. They must fully adhere to local and international anti-bribery and anti-corruption laws and regulations. Under no circumstances shall suppliers, directly or indirectly, offer or provide any improper payments, benefits, or advantages to employees of Bosideng to influence their decisions or seek improper personal gain. This helps to maintain a clean and honest business environment. Suppliers shall have no records within the past three years of criminal offenses, smuggling, tax violations, or significant environmental penalties.
